AlphaTON Capital acquires 60% of Animoca’s GAMEE at $18 million valuation

Nasdaq-listed AlphaTON Capital (ATON) has announced a definitive agreement to acquire a 60% controlling interest in Animoca Brands subsidiary Gamee, in a deal valuing the company at $18 million.

The agreement follows a deal in October 2025, which saw AlphaTON Capital buy a 51% majority stake in Gamee.

The web2/web3 mobile gaming platform claims a total of 119 million registered users, of which 61 million are within the Telegram ecosystem, an audience AlphaTON is particularly focused on scaling. In 2025, it reported estimated revenues of $3.5 million, a three-year CAGR of 112%.

As for the agreement, AlphaTON will acquire a 60% stake and assume day-to-day management of Gamee for a price of up to $11 million. The deal includes a performance-linked earn-out over two years. Animoca Brands has also signed a two-year standstill agreement that prevents it from acquiring a controlling position in AlphaTON Capital.

At closing, AlphaTON will pay $1.5 million in cash, around $2 million in shares and warrants, and acquire $2 million worth of Gamee’s GMEE token on the open market within 90 days. An additional $3.5 million will become payable in the first year if Gamee hits $1.2 million EBITDA, and up to $4 million more in the second year against a $1.6 million EBITDA target – both split between cash and ATON shares.

Digital assets from Animoca Brands’ treasury of approximately 878 million GMEE tokens and 20.5 billion WAT tokens, each representing 51% of Animoca’s holdings, will also be transferred as part of the deal.

Alongside the acquisition, the companies have signed a strategic alliance to collaborate across blockchain and social gaming, with a particular focus on leveraging Telegram.

Following the deal, which is expected to close in 30 days, Gamee’s existing leadership will remain in place. Founder Bozena Rezab will become Head of AlphaTON Gaming, while Martin Zakovec will continue as CEO and Miroslav Chmelka as CTO.
